The History of Brasil Brokers

The Company was founded on January 16, 2007 to invest in other companies operating in the real estate industry as a partner, shareholder or member of a consortium.

Also in 2007, prior to the Company’s IPO on the BM&FBOVESPA, a corporate restructuring was carried out that consisted of the acquisition of 16 real estate brokerage and consulting firms in several regions of Brazil and in the consolidation of the Company as the manager of these companies, allowing for corporate, operational and financial integration among all of them.

In December 2007, its IPO was carried out in Brazil, with placement efforts abroad and the pulverization of approximately 45% of its capital into the market at the close of the offer.

In 2008, another 10 companies were acquired.

Despite the 2010 crisis, the Company has grown significantly during the period, with a 28% CAGER between 2008 and 2010.

On October 14, 2010, the Company signed a Commercial Partnership Agreement with HSBC BANK BRASIL S/A – Banco Múltiplo for the promotion and provision of real estate loans on the secondary market, with exclusive rights for HSBC for the first analysis and supply of loans to the Company’s customers. The partnership began on the date the contract was signed and is scheduled to end on December 31, 2015, with an option to extend for an additional five years. On October 22, 2010, the Company changed its corporate purpose so as not to limit its activities in the provision of services.

Acquisition of 7 companies between 2011 and 2012, in a more mature Real Estate Market, giving its first signs of slowdown in 2012.

On February 4, 2011, the Company closed its offering of 23,962,475 shares, representing 16.3% of the Company’s capital stock on that date, all of them registered, book-entry shares with no par value, free and clear of any liens or encumbrances, at a price of R$7.90 per share, totaling R$189,303,552.50.

Reduction in the number of launches and sales velocity.

Adequacy of operational leverage of the sector’s momentum, transforming the Company‘s business to capture administrative synergies.

Today, the Company owns 22 operations in 11 states, as well as the Federal District. The states where it has operations are Bahia, Goiás, Minas Gerais, Mato Grosso, Mato Grosso do Sul, Pará, Paraná, Rio de Janeiro, Rio Grande do Norte, Rio Grande do Sul and São Paulo.
